Terms of Service

1. Who we are

FlowGenie is a personal project operated by Perry Ratcliff ("we", "us"). You can contact us at perryratcliff@gmail.com.

By using FlowGenie, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

The Service is intended for users who are at least 13 years old (16+ in the EU/UK). If you are under the age of majority in your jurisdiction, you must have the consent of a parent or legal guardian.

3. Accounts

You are responsible for your account and any activity under it. Keep your credentials and API keys secure. You must provide accurate information and promptly update it if it changes.

4. Plans, billing, and refunds

We offer a free tier and a paid tier. Paid plans grant higher usage limits (e.g., AI usage and flow calls). Pricing and plan details may change. Payments are processed by Stripe. We do not store full payment card details. You may cancel at any time; access continues until the end of your current billing period. Refunds are generally not provided except where required by law; we may issue discretionary refunds.

5. Your content and licenses

You retain ownership of the content you create, upload, or process with FlowGenie (including flows, forms, files, and submissions). You grant us a worldwide, non-exclusive license to host, store, transmit, display, and process your content solely to provide, maintain, secure, and improve the Service.

If you mark your flows or forms as templates or otherwise make them public, you grant us and other users a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, display, and create derivative works of that content in connection with the template-sharing features of the Service.

6. Acceptable use

  • No illegal activity or content.
  • No infringing, harassing, hateful, or abusive content.
  • No attempts to disrupt, overload, or reverse-engineer the Service.
  • No automated scraping or excessive requests beyond documented or reasonable limits.
  • No handling of highly regulated data (e.g., PHI, card data) unless explicitly supported.

7. Third-party services

The Service integrates with and relies on third-party providers, including hosting (Vercel), database (PlanetScale), caching/queues (Upstash Redis/QStash), file uploads (UploadThing), payments (Stripe), email (Resend), authentication (NextAuth with GitHub/Discord/Email), realtime (PartyKit), and AI model providers (e.g., OpenAI, Anthropic). Your content may be transmitted to these providers as necessary to deliver the Service. See our Privacy Policy for details.

8. AI usage

When you use AI features, your prompts and inputs may be sent to AI providers (e.g., OpenAI, Anthropic) to generate outputs. We do not use your content to train our own models. AI outputs may be inaccurate; you are responsible for reviewing results and using them responsibly.

9. Intellectual property

We and our licensors own the Service and all related IP. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU HAVE NOT PAID US. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses risk to the Service or others. Upon termination, Sections that by their nature should survive (e.g., IP, disclaimers, limitations, indemnity) will survive.

14. Governing law

These Terms are governed by the laws of the State of California, USA, excluding conflicts of law rules. The exclusive venue for disputes that are not subject to arbitration is the state and federal courts in San Francisco County, California, USA.

15. Arbitration; class action waiver

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. YOU AND WE WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

16. Changes

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you (e.g., posting on the site or via email). Your continued use of the Service after changes become effective constitutes acceptance.
